By accessing or using Flow Crypto, you acknowledge that you have read, understood, and accepted this Disclaimer & Risk Disclosure, together with our Terms of Service, Privacy Policy, and any other terms or notices that apply to your use of our services.

Flow Crypto Limited is a New Zealand cryptocurrency brokerage that enables eligible customers to buy, sell, and swap supported cryptoassets. Cryptoassets are high-risk products and may not be suitable for everyone. You should only use Flow Crypto if you understand the risks involved.

1. No Financial, Investment, Legal, or Tax Advice

1.1 Flow Crypto does not provide financial advice, investment advice, legal advice, tax advice, accounting advice, or any other professional advice.

1.2 Any information made available through Flow Crypto, including prices, charts, market data, portfolio information, tax reports, educational content, coin listings, transaction summaries, auto-buy tools, or platform notifications, is provided for general information only.

1.3 Nothing on our platform is a recommendation, endorsement, offer, solicitation, or invitation to buy, sell, hold, swap, or otherwise deal in any cryptoasset.

1.4 We do not assess whether any cryptoasset, transaction, strategy, or feature is appropriate for your personal circumstances.

1.5 You are solely responsible for deciding whether to use Flow Crypto and whether any cryptoasset transaction is suitable for you, having regard to your own financial position, objectives, risk tolerance, knowledge, and tax position.

1.6 You should seek advice from a qualified financial adviser, tax adviser, lawyer, accountant, or other professional adviser before making any decision involving cryptoassets.

2. Cryptoasset Risk

2.1 Cryptoassets are highly volatile. Prices can rise or fall sharply, including within minutes, and may become worthless.

2.2 You may lose some or all of the money you use to buy cryptoassets. You should only transact with money you can afford to lose.

2.3 Cryptoassets may not have any underlying physical asset, issuer, revenue stream, legal claim, or enforceable right supporting their value. Their price may be driven largely by market sentiment, speculation, liquidity, supply, demand, and broader market conditions.

2.4 Cryptoassets are not legal tender in New Zealand and are generally not subject to the same protections as traditional financial products, bank deposits, managed investment products, or other regulated investments.

2.5 Cryptoasset markets may be affected by liquidity shortages, exchange outages, cyber incidents, scams, fraud, protocol failures, blockchain forks, governance disputes, smart-contract vulnerabilities, stablecoin de-pegging, market manipulation, regulatory action, and other events outside Flow Crypto's control.

2.6 Some cryptoassets carry additional risks, including small-cap tokens, stablecoins, wrapped assets, bridged assets, newly issued tokens, and assets with low liquidity. These assets may be difficult or impossible to sell at an expected price.

2.7 Past performance is not a reliable indicator of future performance. No cryptoasset is guaranteed to increase in value.

3. Non-Custodial Wallet Risk

3.1 Flow Crypto operates on a non-custodial basis. We do not provide a hosted wallet service and we do not hold your cryptoassets for you after delivery.

3.2 Cryptoassets purchased through Flow Crypto are delivered to the external wallet address you provide.

3.3 You are solely responsible for ensuring that:

(a) the wallet address you provide is correct;

(b) you have selected the correct blockchain network;

(c) your wallet supports the relevant cryptoasset;

(d) you control and secure your wallet, private keys, seed phrase, devices, and authentication methods; and

(e) you understand how to safely receive, store, and transfer the relevant cryptoasset.

3.4 Blockchain transactions are generally irreversible. If you provide an incorrect wallet address, select the wrong network, use an unsupported wallet, lose access to your wallet, lose your private keys or seed phrase, or have your wallet compromised, your cryptoassets may be permanently lost.

3.5 Flow Crypto is not responsible for losses caused by incorrect wallet details, wrong-network transfers, unsupported wallets, lost private keys, compromised wallets, phishing, malware, social engineering, scams, or unauthorised access to your wallet, except to the extent required by law.

4. Orders, Pricing, Execution, and Availability

4.1 Prices, quotes, exchange rates, spreads, fees, and network fees displayed on Flow Crypto may change quickly.

4.2 Any quoted price may be available only for a limited time. If your payment is delayed, your order is not completed in time, market conditions change, or a third-party provider is unavailable, the final execution price may differ from the price originally displayed.

4.3 We may delay, reject, cancel, expire, re-quote, or not complete an order where:

(a) the quote has expired;

(b) payment is not received or cannot be matched;

(c) the payment amount or reference is incorrect;

(d) market conditions have changed materially;

(e) liquidity is unavailable or insufficient;

(f) a third-party provider is unavailable;

(g) network fees or blockchain conditions change;

(h) the order triggers security, fraud, AML/CFT, sanctions, tax-reporting, or other compliance concerns; or

(i) we reasonably consider it necessary for operational, legal, regulatory, or risk-management reasons.

4.4 We do not guarantee that any cryptoasset will be available to buy, sell, swap, transfer, or withdraw at any particular time, price, quantity, or network fee.

4.5 Order execution may depend on third-party exchanges, liquidity providers, banking providers, payment providers, blockchain networks, and other infrastructure outside Flow Crypto's control.

5. Fees, Spreads, and Network Costs

5.1 Flow Crypto may charge or apply spreads, platform fees, swap fees, small-cap token spreads, network fees, withdrawal fees, and other charges as disclosed during the order flow, in our fee schedule, or in our Terms of Service.

5.2 Fees may be included in the quoted price or shown separately, depending on the transaction type.

5.3 Network fees are determined by the relevant blockchain network or third-party provider and may change without notice.

5.4 Small-cap tokens, low-liquidity assets, or crypto-to-crypto swaps may involve wider spreads or higher costs than major cryptoassets.

5.5 You are responsible for reviewing all order details, including asset, amount, wallet address, network, fees, spreads, and estimated delivery amount, before confirming a transaction.

6. Auto-Buy and Recurring Purchases

6.1 Flow Crypto may offer recurring purchase tools, including auto-buy or dollar-cost averaging features.

6.2 Auto-buy does not reduce or remove cryptoasset risk. Recurring purchases may be executed at higher or lower prices than previous purchases, and you may still lose some or all of the money used for recurring purchases.

6.3 Auto-buy orders may be delayed, skipped, cancelled, or not completed if payment is not received, payment cannot be matched, a quote expires, a compliance review is required, the relevant asset is unavailable, or the platform or a third-party provider is unavailable.

6.4 You are responsible for monitoring your auto-buy settings, payment arrangements, wallet address, asset selection, and transaction history.

7. Third-Party Services and Providers

7.1 Flow Crypto may rely on third-party services, including exchanges, liquidity providers, blockchain networks, identity verification providers, banking and payment providers, open banking providers, blockchain analytics providers, wallet-screening providers, hosting providers, and other technology or infrastructure providers.

7.2 We are not responsible for losses, delays, failed transactions, incorrect data, outages, insolvency, cyber incidents, regulatory action, or other issues caused by third-party providers or blockchain networks, except to the extent required by law.

7.3 Our platform may contain links to third-party websites, wallets, tools, or services. These links are provided for convenience only.

7.4 Flow Crypto does not control and is not responsible for third-party content, terms, privacy practices, security, availability, or performance. Your use of third-party services is at your own risk.

8. Platform Availability and Technology Risk

8.1 Flow Crypto's platform is provided on an "as is" and "as available" basis, to the maximum extent permitted by law.

8.2 We do not guarantee that the platform will be available at all times, uninterrupted, secure, error-free, or free from delays.

8.3 The platform may be unavailable, delayed, restricted, or interrupted due to maintenance, system upgrades, technical issues, cyber incidents, third-party outages, blockchain congestion, banking delays, compliance reviews, legal requirements, or events outside our control.

8.4 We may suspend, restrict, or modify access to the platform or any service where we consider it necessary for security, maintenance, compliance, fraud prevention, legal, operational, or risk-management reasons.

9. Compliance, Verification, and Transaction Monitoring

9.1 Flow Crypto is required to comply with applicable laws and regulatory obligations, including anti-money laundering and countering financing of terrorism obligations, sanctions requirements, tax-reporting obligations, record-keeping obligations, and other legal or regulatory requirements.

9.2 We may require you to provide identity information, biometric verification, proof of address, source of funds information, source of wealth information, tax-residency information, wallet information, transaction information, or other information before allowing you to register, place an order, complete a transaction, increase limits, or continue using our services.

9.3 We may conduct customer due diligence, enhanced due diligence, sanctions screening, politically exposed person screening, adverse media screening, wallet screening, transaction monitoring, fraud checks, device checks, IP checks, and other risk or compliance checks.

9.4 We may delay, decline, cancel, restrict, suspend, block, or hold an account, order, payment, withdrawal, transfer, or transaction where we consider it necessary or appropriate for compliance, security, fraud prevention, sanctions screening, tax reporting, legal, regulatory, operational, or risk-management reasons.

9.5 We may be required or permitted to collect, retain, use, and disclose information about you, your account, your wallet addresses, your transactions, and your use of Flow Crypto to regulators, tax authorities, law enforcement, government agencies, dispute resolution schemes, banks, payment providers, identity verification providers, blockchain analytics providers, or other third parties where required or permitted by law.

9.6 We may not be able to tell you why a transaction or account has been delayed, blocked, suspended, or reported where doing so would breach the law or compromise compliance, security, or fraud-prevention controls.

10. Tax

10.1 You are solely responsible for understanding, calculating, reporting, and paying any tax associated with your cryptoasset activity.

10.2 In New Zealand, cryptoassets may give rise to tax obligations, including when you buy, sell, swap, exchange, receive, mine, stake, earn, dispose of, or otherwise deal with cryptoassets.

10.3 Any tax reports, transaction exports, portfolio information, gain/loss calculations, FIFO calculations, referral income records, or other tax-related tools made available by Flow Crypto are provided for general information only and are not tax advice.

10.4 Flow Crypto's records may not include cryptoasset activity you conduct through other exchanges, wallets, platforms, private transfers, DeFi protocols, offshore providers, or third parties.

10.5 You are responsible for keeping your own complete and accurate records and obtaining independent tax advice.

10.6 Flow Crypto may collect and report information about you and your transactions to Inland Revenue or other tax authorities where required by law, including under applicable cryptoasset reporting rules.

11. Regulatory Risk

11.1 The legal and regulatory treatment of cryptoassets is evolving in New Zealand and internationally.

11.2 Changes in law, regulation, tax treatment, enforcement policy, banking access, exchange access, blockchain rules, or regulatory interpretation may affect the availability, legality, transferability, tax treatment, or value of cryptoassets or Flow Crypto's services.

11.3 Flow Crypto may modify, suspend, restrict, or stop offering any product, service, feature, cryptoasset, transaction type, payment method, or jurisdiction where we consider it necessary or appropriate for legal, regulatory, banking, compliance, operational, or risk-management reasons.

11.4 Any registration, reporting obligation, supervisory relationship, or dispute-resolution scheme membership does not mean that Flow Crypto, its services, or any cryptoasset is approved, guaranteed, endorsed, or recommended by any New Zealand government agency, regulator, supervisor, or dispute-resolution scheme.

12. No Deposit Protection or Government Guarantee

12.1 Cryptoassets are not bank deposits.

12.2 Flow Crypto is not a bank or deposit taker.

12.3 Cryptoassets and transactions through Flow Crypto are not protected by any deposit compensation scheme, investor compensation scheme, government guarantee, or similar protection scheme, except to the extent expressly required by law.

12.4 You may not recover funds or cryptoassets lost due to market movements, scams, fraud, hacking, wallet compromise, wrong-address transfers, wrong-network transfers, blockchain failures, third-party failures, or insolvency of a third party.

13. Security and Scams

13.1 You are responsible for maintaining the security of your account, email, devices, passwords, two-factor authentication, wallet, private keys, and seed phrases.

13.2 Flow Crypto will never ask you for your wallet seed phrase or private keys. You should never share your seed phrase, private keys, passwords, authentication codes, or recovery phrases with anyone.

13.3 Cryptoasset transactions are commonly targeted by scams, phishing, impersonation, malware, fake investment schemes, romance scams, recovery scams, social engineering, and fraudulent wallet addresses.

13.4 You are responsible for verifying the legitimacy of any person, website, wallet address, investment opportunity, transaction request, or third-party service before proceeding.

13.5 If you believe your Flow Crypto account, email, device, wallet, private keys, seed phrase, or transaction details have been compromised, you should contact us immediately. We may not be able to stop, reverse, or recover a transaction once it has been submitted or completed.

14. Portfolio and Performance Information

14.1 Any portfolio values, performance information, profit/loss calculations, historical prices, tax estimates, or charts shown on Flow Crypto are estimates only.

14.2 Portfolio and performance information may be delayed, incomplete, inaccurate, or based on assumptions, including pricing data, exchange rates, fee assumptions, and transaction history available to Flow Crypto.

14.3 You should not rely solely on Flow Crypto's portfolio, performance, or tax information when making financial, investment, accounting, or tax decisions.

15. Limitation of Liability

15.1 To the maximum extent permitted by law, Flow Crypto is not liable for losses arising from:

(a) cryptoasset price movements or market volatility;

(b) failed, delayed, cancelled, expired, or re-quoted orders;

(c) blockchain congestion, forks, outages, errors, or protocol failures;

(d) wrong-address or wrong-network transfers;

(e) loss of private keys, seed phrases, passwords, or account credentials;

(f) wallet compromise, device compromise, phishing, scams, malware, or social engineering;

(g) third-party provider failures, delays, outages, insolvency, or security incidents;

(h) regulatory changes, tax consequences, or legal restrictions;

(i) liquidity shortages or inability to buy, sell, swap, transfer, or withdraw a cryptoasset;

(j) your failure to provide accurate, complete, or timely information;

(k) your breach of our Terms of Service or applicable law; or

(l) events outside our reasonable control.

15.2 Nothing in this Disclaimer & Risk Disclosure limits, excludes, or modifies any rights, guarantees, remedies, or protections that cannot lawfully be limited, excluded, or modified under New Zealand law, including under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

16. Updates to This Disclaimer

16.1 Flow Crypto may update this Disclaimer & Risk Disclosure from time to time.

16.2 The updated version will apply from the date it is published on our website, unless stated otherwise.

16.3 Your continued use of Flow Crypto after an updated version is published means you accept the updated Disclaimer & Risk Disclosure.
